Overview & Agreement to Terms

Welcome to UPILABS ("we", "us", or "our"). These Terms of Service ("Terms") govern the contractual relationship between UPILABS and you ("Client", "you", or "your") when purchasing or engaging our Shopify Liquid email development and customization services through our website, calendar booking system, or authorized partner platforms.

By reserving a development slot, submitting an inquiry, or completing payment for any of our services, you expressly acknowledge and agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our services.

Services & Package Tiers

UPILABS specializes in custom development of native Shopify transactional and notification email templates using Shopify Liquid, HTML, and responsive CSS. Our standard service offerings include:

Turnaround Times, Delivery & Revisions

3.1 Estimated Turnaround

Delivery timelines commence upon receipt of all necessary project prerequisites from the Client (e.g., logo, brand guidelines, color codes, and any specific text copy):

• Essential ($30): Estimated initial delivery within 2 business days.
• Standard ($80): Estimated initial delivery within 4 business days.
• Custom ($20/hr): Turnaround estimates provided upon scoping the requested work.

While we strive to meet or beat all estimated timelines, delivery times may adjust slightly during periods of high demand or if required Client inputs are delayed.

3.2 Unlimited Revisions Policy

We are committed to delivering templates that perfectly reflect your brand. All packages come with unlimited revisions until your expectations are met. Revisions cover modifications to typography, colors, layouts, spacing, copy adjustments, and styling refinements aligned with the original project scope. Revisions do not include adding templates beyond your chosen package quota or entirely redefining the project scope after work has begun.

Shopify Collaborator Access & Security

To provide our free installation and end-to-end testing, Clients may grant UPILABS temporary collaborator access to their Shopify store via official Shopify Partner Collaborator accounts.

Intellectual Property & Lifetime Ownership

Unlike SaaS email apps that charge recurring monthly fees ($19–$49/mo) and revoke your designs upon cancellation, UPILABS operates on a 100% lifetime ownership model:

• Client Ownership: Upon receipt of full payment, all customized Shopify Liquid code, design templates, and assets produced for your store become your exclusive property.
• Zero Recurring Fees: You will never be billed recurring licensing fees, server charges, or monthly upkeep costs by UPILABS.
• Freedom to Modify: You retain complete freedom to edit, export, duplicate, or alter the delivered Liquid code in perpetuity.
• Portfolio Rights: Unless you explicitly request a non-disclosure agreement (NDA) prior to project kickoff, UPILABS reserves the right to display anonymized screenshots or mockups of the finished email templates in our design portfolio and marketing materials.

Pricing, Invoicing & Payments

All prices on UPILABS are quoted in United States Dollars ($ USD). Payments are handled via secure checkout or authorized escrow platforms (such as Fiverr or Upwork for clients choosing third-party escrow protection).

• Fixed Packages ($30 & $80): One-time flat payment covering the full deliverables outlined.
• Custom Development ($20/hour): Billed based on pre-agreed hourly estimates or logged project milestones.
• Taxes: Fees are exclusive of local sales taxes, VAT, or withholding taxes, which shall be the Client's responsibility where applicable.

Client Responsibilities

To ensure timely and high-quality delivery, the Client agrees to:

• Provide necessary brand assets (vector or high-res logo, brand guidelines, color codes, fonts) promptly.
• Review drafts and provide consolidated, constructive revision feedback in a reasonable timeframe.
• Ensure that all content, logos, trademarks, and imagery provided to UPILABS do not infringe on any third-party copyrights or intellectual property rights.

Satisfaction Guarantee & Cancellations

We stand behind our work with a 100% Satisfaction Guarantee:

• Unlimited Revisions: Before any template is finalized, we will work collaboratively through revisions until you are completely satisfied with the look and feel.
• Cancellations Prior to Work: If you book a date via our availability calendar and need to reschedule or cancel before development work begins, you may do so at zero charge.
• Refunds: Once custom Liquid development has commenced and customized draft designs have been submitted for review, flat-rate fees are generally non-refundable due to the labor-intensive nature of custom code. However, if we fail to deliver functional Liquid templates meeting standard Shopify requirements, we will issue a prompt and courteous refund.

Limitation of Liability & Disclaimers

UPILABS warrants that all Liquid code delivered is tested to render across major desktop and mobile email clients (Gmail, Apple Mail, Outlook, Yahoo) under standard conditions.

However, UPILABS is not liable for:

• Email deliverability, spam filtering, or sender domain reputation issues caused by your store’s DNS settings, DMARC/DKIM/SPF records, or third-party mailing apps.
• Unannounced platform-level modifications or deprecated Liquid variables introduced by Shopify Inc. after project completion.
• Subsequent unauthorized code edits performed by Client staff or third-party apps that disrupt template rendering.

In no event shall UPILABS' total aggregate liability arising out of or related to these Terms exceed the total amount paid by the Client for the specific service in dispute.
